DAMANTIS
Terms of Service
Read this first. Damantis is a data and software publisher. We are not an investment adviser or a broker-dealer, and nothing we publish is investment advice or a recommendation to buy or sell anything. Trading and investing carry substantial risk, including the total loss of your capital. Any performance figure you see on this site is hypothetical or backtested unless it says otherwise, and past performance never indicates future results. You alone are responsible for your investment decisions.
Plain-English summary
This summary is a reading aid. It is not part of the contract — the numbered sections below are what binds us both.
- We sell subscriptions to data and signals. We do not give advice and we do not manage money.
- The service is for US residents only.
- Subscriptions renew automatically. You can cancel any time from your account, and the cancellation takes effect at the end of the term you already paid for.
- Fees are not refundable, and a paid term cannot be cut short.
- Signals are for you. Do not resell or republish them, and do not use them to train a model or build a competing product.
- Our liability is capped at what you paid us in the last twelve months, or USD 100, whichever is higher.
- Disputes go to court in Wyoming. There is no forced arbitration, but there is a jury-trial and class-action waiver.
- We give you 30 days' notice before any material change to these terms.
1. Agreement
These Terms of Service (the "Terms") form a binding agreement between Damantis LLC, a limited liability company organized under the laws of the State of Wyoming, United States ("Damantis", "we", "us"), and the person or entity that creates an account for, subscribes to, or otherwise uses the damantis.com website, our applications, data feeds, APIs and related services (the "Service", and such person or entity, "you").
By creating an account, clicking to accept, or using the Service, you accept these Terms. If you do not accept them, do not use the Service. If you accept on behalf of an organization, you represent that you are authorized to bind it.
You must be at least 18 years old and legally capable of entering into a binding contract.
2. Territorial Scope and Eligibility
The Service is offered exclusively to persons located in, and resident in, the United States of America.
It is not offered, marketed, directed, or made available to persons in Canada, the European Union, the European Economic Area, the United Kingdom, Switzerland, or any other jurisdiction, and nothing on this website or in our marketing is intended as an offer or solicitation to any person outside the United States.
By subscribing you represent and warrant, on each day of your subscription, that:
- you are resident in the United States and are physically located in the United States when you access the Service;
- the billing address and country associated with your payment method are in the United States;
- you are not a person barred from receiving the Service under the laws of the United States, including applicable sanctions and export-control laws, and you are not located in a sanctioned jurisdiction; and
- you are not accessing the Service on behalf of, or for the benefit of, any person outside the United States.
We verify eligibility using the billing country of your payment method and other reasonable means. We may refuse, suspend, or terminate any account that we reasonably believe does not meet these conditions, at any time and without refund. Using a VPN, proxy, forwarding address, or any other means to disguise your location in order to obtain access is a material breach of these Terms.
Where the Service is nonetheless accessed from outside the United States, that access is unauthorized, is at your own initiative and risk, and does not constitute an offering, marketing, or directing of activities by Damantis to that jurisdiction.
3. Description of the Service
Damantis is a data and software company. The Service applies statistical, quantitative and machine-learning methods to publicly and commercially available inputs — including market news, sentiment data, technical price and volume data, and fundamental data — and makes the resulting scores, rankings, screens, alerts and signals (collectively, "Signals") available to subscribers on a software-as-a-service basis.
Signals are produced by automated systems and are distributed on the same basis to all subscribers of the relevant plan. They are impersonal, general-circulation informational output. They are not tailored to your financial situation, investment objectives, risk tolerance, tax position, or any other individual circumstance, and no one at Damantis reviews your circumstances before a Signal is generated or delivered.
We may add, change, suspend or discontinue features, data sources, models, methodologies or plans at any time. Signal methodologies are proprietary and may change without notice.
4. Accounts and Acceptable Use
You must provide accurate registration information and keep it current. You are the sole authorized user of your credentials, are responsible for keeping them confidential, and are responsible for all activity under your account. Notify us promptly at support@damantis.com if you suspect unauthorized use.
Accounts are personal and non-transferable. Unless your plan expressly says otherwise, one account may be used by one natural person. Credential sharing, concurrent-session abuse, and seat sharing are grounds for suspension.
You agree not to:
- resell, redistribute, republish, sublicense, broadcast, or make Signals or other Service content available to any third party, including any person outside the United States;
- scrape, crawl, spider, or use automated means to access the Service other than through an API plan we have expressly licensed to you;
- reverse engineer, decompile, or attempt to derive our models, methodologies, source code, or underlying data structures;
- use the Service or its output to build, train, benchmark, or operate a competing product or dataset, including as training data for machine-learning systems;
- circumvent access controls, rate limits, paywalls, usage metering, or the territorial restrictions in Section 2;
- use the Service in connection with market manipulation, insider trading, spoofing, layering, wash trading, or any other conduct prohibited by applicable securities or commodities law;
- use the Service unlawfully or for any unlawful purpose.
We may suspend or restrict access immediately where we reasonably suspect fraud, abuse, credential sharing, unlawful use, chargeback abuse, territorial circumvention, or a security risk.
5. Intellectual Property and Licence
The Service and all Signals, scores, rankings, models, methodologies, software, text, graphics, databases, trade marks and other content are owned by Damantis or its licensors and are protected by copyright, trade secret and trade mark law. "DAMANTIS" and associated marks are our trade marks.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service and to view, print and store Signals for your own internal or personal use only, for the duration of your subscription. All rights not expressly granted are reserved.
Some data displayed in the Service is licensed from third-party providers and may be subject to additional restrictions imposed by those providers, including exchange market-data rules. Where we make such restrictions known to you, they apply to you as well.
If you send us feedback or suggestions, you grant us a perpetual, worldwide, royalty-free right to use them without obligation to you.
6. Subscriptions, Fees, Renewal and Taxes
Plans and term. The Service is sold as a subscription with a fixed term (for example, monthly or annual) beginning on the date your subscription starts (the "Subscription Term"). Prices, features and term lengths are as described at checkout. All prices are in US dollars.
Automatic renewal. Unless you cancel before the end of the current Subscription Term, your subscription renews automatically for a further term of the same length at the then-current price, and we will charge your saved payment method. Before you subscribe we disclose the renewal terms, the recurring charge, the renewal frequency and how to cancel, and we obtain your express affirmative consent to those terms. We send a confirmation after purchase and, where required by applicable state law, a renewal or price-change reminder before we charge you.
Cancellation. You may cancel at any time from your account settings, using the same medium through which you subscribed, without contacting support and without a retention call. Cancellation stops the next renewal. It does not shorten or terminate the current Subscription Term.
No refunds. Except where a mandatory law gives you a non-waivable right to a refund (see Section 14), all fees are non-refundable and all payment obligations are non-cancellable. There is no early termination and no partial or pro-rata refund for a Subscription Term you have paid for, whether or not you use the Service. Fees are payable in advance for the full Subscription Term.
Service interruptions. Short-term unavailability of the Service or of Signal delivery does not entitle you to a refund, credit, or price reduction. We do not commit to any service level unless a separate written service level agreement applies to you.
Price changes. We may change prices for future Subscription Terms. We will notify you before a price change takes effect. Where required by applicable state law, we will obtain your affirmative consent to the new price or allow you to cancel without penalty within the statutory window; otherwise, continuing into the next term constitutes acceptance.
Payment processing. Payments are processed by Stripe, Inc. and other third-party payment providers. Damantis LLC is the seller of record. You authorize us and our providers to charge your payment method for all amounts due. You agree to keep billing information current. If a charge fails or is reversed, we may suspend access until the amount is settled.
Taxes. Prices are stated exclusive of applicable sales and use taxes unless the checkout says otherwise. Some US states treat software-as-a-service as taxable. Where we are required to collect state or local sales or use tax, it will be calculated at checkout based on the billing address you provide and remitted to the relevant authority. You are responsible for providing an accurate billing address and, if you claim an exemption, valid exemption documentation. You remain responsible for any use tax you owe that we do not collect. You are not liable for taxes on our net income.
7. Regulatory Status
Damantis is a data and software publisher. Damantis is not an investment adviser, broker, dealer, or financial institution, and does not provide investment advice.
- Damantis is not registered with the U.S. Securities and Exchange Commission or with any state securities regulator as an investment adviser or investment adviser representative, and is not registered as a broker-dealer. Damantis is not registered with the U.S. Commodity Futures Trading Commission, is not a member of the National Futures Association, and does not act as a commodity trading advisor or commodity pool operator.
- The Service consists of impersonal, non-individualized analytical output distributed on a regular basis to a general subscriber base. It is publishing activity. It does not create an advisory, fiduciary, brokerage, agency, or client relationship of any kind between you and Damantis.
- Nothing in the Service is an offer, solicitation, recommendation, or inducement to buy, sell, hold, or subscribe for any security, derivative, digital asset, or other financial instrument, in any jurisdiction where such an offer or solicitation would be unlawful or where Damantis is not authorized to make it.
- Nothing in the Service is legal, tax, accounting, or regulatory advice.
- You are solely responsible for your own investment decisions. You should consult a licensed investment adviser, broker, or other qualified professional before acting on anything you see in the Service.
- All trades are executed through a broker or dealer of your own choosing, under a separate contract to which Damantis is not a party.
- The Service is not offered or authorized outside the United States. See Section 2.
- You are responsible for complying with all laws that apply to you, including securities, commodities and market-manipulation prohibitions.
Damantis may change its regulatory posture or the availability of the Service at any time.
8. No Guarantee of Results
Trading and investing involve substantial risk, including the risk of total loss of capital. You may lose more than your original investment when leverage or derivatives are used.
- Signals are probabilistic outputs, not predictions, guarantees, or certainties. They express the current assessment of an automated model and nothing more.
- Past performance is not indicative of future results. No representation is made that any account will or is likely to achieve profits or losses similar to any result shown.
- Any performance figures shown — including model portfolios, strategy statistics, screener results and track records — are, unless expressly and prominently labelled otherwise, hypothetical or backtested. Hypothetical and backtested results have inherent limitations: they do not represent actual trading, they are constructed with the benefit of hindsight, they may not reflect liquidity, slippage, partial fills, gaps, spreads, borrowing costs, commissions, taxes, or the psychological effect of real capital at risk, and they may over- or under-compensate for the impact of market factors. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.
- Where real-money results are shown, they reflect the specific execution, timing, sizing, costs, and account conditions of that account only. Your results will differ.
- We make no warranty as to the accuracy, completeness, timeliness, currency, sequencing, or fitness for any purpose of any data, Signal, calculation, or model output. Source data comes from third parties and may be delayed, incomplete, revised, or wrong. Automated systems can and do miscalculate. We correct errors and technical faults as quickly as reasonably practicable, but we do not guarantee that we will detect or correct them.
- The Service is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by applicable law, Damantis disclaims all warranties, express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, accuracy, non-infringement, and any warranty of uninterrupted or error-free operation. We do not warrant that the Service will meet your requirements or that defects will be corrected.
Use of the Service is entirely at your own risk.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
(a) Excluded damages. Damantis and its members, managers, officers, employees, agents, suppliers and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any trading or investment losses, lost profits, lost or foregone gains, loss of opportunity, loss of goodwill, loss of data, business interruption, or costs of substitute services, arising out of or relating to the Service or these Terms, regardless of the legal theory (contract, tort, strict liability, statute or otherwise) and even if we have been advised of the possibility of such damages.
(b) Liability cap. Our total cumulative liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (i) the fees you actually paid to Damantis for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars (USD 100).
(c) Specific exclusions. Without limiting the foregoing, we are not liable for: errors, omissions, delays, interruptions or inaccuracies in data, Signals or content; failures, outages or disconnections of telecommunications networks, hosting providers, exchanges, data vendors or your own equipment; unauthorized third-party access to or alteration of data or communications; malware not originating from our willful misconduct; the acts, omissions, content or products of any third party, including brokers, data vendors and linked websites; or any event beyond our reasonable control (force majeure).
(d) Basis of the bargain. The disclaimers and limitations in Sections 8 and 9 are a fundamental basis of the bargain between you and Damantis and allocate risk in exchange for the subscription price. They apply even if a limited remedy fails of its essential purpose.
(e) Non-excludable liability. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, or willful misconduct. Some states do not allow the exclusion of certain warranties or the limitation of incidental or consequential damages; in those states, the exclusions and limitations above apply only to the extent permitted.
(f) Aggregation. Multiple claims do not enlarge the cap in Section 9(b).
10. Indemnification
You agree to indemnify, defend and hold harmless Damantis and its members, managers, officers, employees, agents, suppliers and licensors from and against any and all third-party claims, demands, proceedings, liabilities, damages, losses, penalties, and reasonable costs and expenses (including reasonable attorneys' fees) arising out of or relating to:
- your use of, or reliance on, the Service or any Signal;
- your investment, trading, or financial decisions, and any losses or claims of any person who acted on information you obtained from the Service;
- your breach of these Terms, including the eligibility representations in Section 2 and the acceptable-use and licence restrictions in Sections 4 and 5;
- your redistribution, republication, or onward disclosure of Signals or Service content, including to any person outside the United States;
- your violation of any law or regulation, including securities, commodities, market-abuse, tax, sanctions, export-control or data-protection law; or
- your violation of the rights of any third party.
We will notify you of any claim for which we seek indemnification and may, at our option and expense, assume the exclusive defence and control of the matter; you agree to cooperate. You may not settle any claim in a way that imposes an obligation or admission on Damantis without our prior written consent. This Section does not apply to the extent a claim arises from our own willful misconduct, and does not apply to consumers to the extent mandatory consumer-protection law prohibits it.
11. Termination
By you. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the then-current Subscription Term. Section 6 (no refunds) applies.
By us for convenience. We may decline to renew your subscription for any reason by notifying you before the start of the next Subscription Term. We may also discontinue the Service or any plan; if we discontinue a plan mid-term for reasons other than your breach, we will refund the unused portion of fees you have already paid for that term on a pro-rata basis, and that refund is your sole and exclusive remedy.
By us for cause. We may suspend or terminate your access immediately and without refund if you materially breach these Terms — including a false or lapsed eligibility representation under Section 2, territorial circumvention, credential sharing, redistribution, scraping, competitive use, fraud, chargeback abuse, unlawful use, or non-payment — or if we are required to do so by law, by a data licensor, or by a regulator. Where the breach is capable of cure and immediate action is not necessary to protect Damantis, our licensors, or other users, we will give you notice and a reasonable opportunity to cure, not to exceed thirty (30) days.
By either party for insolvency. Either party may terminate immediately if the other becomes subject to a bankruptcy, insolvency, liquidation, or assignment-for-the-benefit-of-creditors proceeding.
Effect of termination. On termination or expiry, your licence ends, your access is disabled, and you must cease all use of the Service and delete any Signals, exports, and data obtained through an API plan that remain in your possession, except where retention is required by law. We may delete account data after termination in accordance with our Privacy Policy and applicable law.
Survival. Sections 2 (as to representations made), 5, 6 (as to accrued fees and taxes), 7, 8, 9, 10, 11 (Effect of termination and Survival), 12, 13, 14, 15 and 17 survive termination.
12. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes or claims), are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply.
You and Damantis agree that the state courts located in Laramie County, Wyoming and the United States District Court for the District of Wyoming have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party irrevocably submits to the personal jurisdiction and venue of those courts and waives any objection based on inconvenient forum.
Nothing in this Section deprives you of the protection of any non-waivable provision of the consumer-protection law of the US state in which you reside.
13. Dispute Resolution
(a) Informal resolution first. Before filing any claim, you agree to contact us at legal@damantis.com with a written description of the dispute and the relief you seek. We will attempt in good faith to resolve it. Neither party may commence proceedings until thirty (30) days after that notice, except for claims seeking injunctive or other equitable relief, or claims within the jurisdiction of a small-claims court.
(b) Court proceedings. If the dispute is not resolved informally, it will be resolved exclusively in the courts identified in Section 12. There is no mandatory arbitration under these Terms.
(c) Jury trial waiver. To the fullest extent permitted by applicable law, each party irrevocably waives any right to trial by jury in any action, proceeding or counterclaim arising out of or relating to these Terms or the Service.
(d) Class action waiver. To the fullest extent permitted by applicable law, claims may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. No court may consolidate more than one person's claims or preside over any form of representative proceeding without the written consent of both parties. If this subsection is held unenforceable as to a particular claim or remedy, that claim or remedy will be severed and heard in court, and the remainder of this Section will continue to apply.
(e) Time limit. To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the cause of action accrues, or it is permanently barred.
(f) Injunctive relief. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, or data-licence rights.
(g) Non-waivable rights. Subsections (c), (d) and (e) do not apply to you to the extent the law of your state of residence makes them unenforceable against a consumer.
14. Consumer Rights
This Section applies in addition to, and does not limit, your rights elsewhere in these Terms.
- Automatic renewal. Your subscription auto-renews as described in Section 6. Before you are charged for the first time we present the renewal terms, the amount and frequency of the recurring charge, the deadline to cancel, and the cancellation method in a clear and conspicuous manner, and we obtain your express affirmative consent, which we record and retain for the period required by applicable state law.
- Post-purchase acknowledgment. We send an acknowledgment after purchase containing the terms of the subscription, the cancellation policy, and the cancellation instructions, in a form you can retain.
- Cancel the way you signed up. You may cancel online, in your account, through the same medium you used to subscribe, without speaking to a person and without completing a retention offer.
- Reminders and price changes. Where state law requires it, we send a renewal reminder before the renewal date, and we obtain your affirmative consent to any material price increase or allow you to cancel without penalty within the statutory window.
- Free trials and introductory offers. If a plan begins as a free trial or a discounted introductory period, we disclose before you sign up when the trial ends, what you will be charged, and how to cancel before the charge, and we notify you before the first full-price charge where required by law.
- Non-waivable rights. Nothing in these Terms waives any right you have under applicable federal or state consumer-protection law, including the Restore Online Shoppers' Confidence Act (ROSCA) and state automatic-renewal, unfair-and-deceptive-practices and consumer-protection statutes. Where a provision of these Terms conflicts with such a non-waivable right, that right prevails for you and the remainder of these Terms continues to apply.
- State privacy rights (California, Colorado, Connecticut, Virginia, Texas and others) may be exercised as described in our Privacy Policy.
15. Privacy and Data
We process personal data as described in our Privacy Policy, which forms part of these Terms. We collect the minimum data required to operate the Service, take payment, meet tax obligations, verify eligibility under Section 2, and comply with law — in particular your email address, account credentials, billing address and payment details. We do not sell or share personal data for cross-context behavioural advertising as those terms are defined under US state privacy law.
16. Changes to Terms
We may amend these Terms. For any change that is material and adverse to you — including changes to fees, the licence scope, the limitation of liability, indemnification, governing law, or dispute resolution — we will give you at least thirty (30) days' notice by email to the address on your account and by posting the updated Terms with a new effective date on this page.
The change takes effect on the stated effective date. If you do not accept it, you may cancel your subscription before that date; if you cancel for this reason, we will refund the unused pro-rata portion of any prepaid fees for the current Subscription Term. Continuing to use the Service after the effective date constitutes acceptance.
Non-material changes — clarifications, formatting, contact details, and changes required by law or by a regulator with immediate effect — may take effect on posting. Where applicable state law requires a different notice or consent mechanism, that mechanism applies.
We keep prior versions available on request.
17. General
Entire agreement. These Terms, together with the Privacy Policy and any plan-specific or API terms presented at checkout, are the entire agreement between you and Damantis regarding the Service and supersede all prior understandings. In the event of conflict, plan-specific or API terms prevail for that plan.
Severability. If any provision is held invalid, illegal or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed; the remaining provisions remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of it.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, reorganization, or sale of assets.
No third-party beneficiaries, except that our members, managers, officers, employees, agents, suppliers and licensors are intended beneficiaries of Sections 8, 9 and 10.
Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control.
Notices. We give notice by email to the address on your account or by posting in the Service. You give notice to us at the address in Section 18.
Relationship. Nothing creates a partnership, joint venture, agency, employment, or fiduciary relationship.
Language. These Terms are made available in English only and are concluded in English.
